What you’ll be doing...

The Associate General Counsel – Corporate Tax should have a broad federal and international income tax background that encompasses (a) experience dealing with mergers and acquisitions, spin-offs and tax free reorganizations (including conducting tax due diligence and drafting tax provisions of transaction agreements), (b) identifying and implementing tax planning opportunities including internal restructurings and legal entity simplification, (c) support and advocacy in income tax controversy matters including responding to information document requests, drafting protests, drafting petitions, etc., and (d) experience with international tax concepts such as subpart F, foreign tax credits, GILTI, BEAT, and intercompany transfer pricing. Subchapter C, Subchapter K and a working knowledge of state income tax concepts are essential. In addition, the candidate should be familiar with and capable of applying the income tax accounting rules under ASC 740 including establishing and remeasuring FIN 48 reserves and valuation allowances and deferred income taxes.

The candidate needs to be able to work in a collaborative environment to identify and resolve complex tax issues. This position will partner extensively with Tax Accounting, Tax Planning and Tax Compliance as well as business unit and other subject matter expert attorneys within Verizon. Requires a strong business acumen as well as being practical and solutions oriented with a willingness to roll up their sleeves to help the business achieve its objectives while mitigating tax risks for the company.

Responsibilities:

  • Provide income tax expertise on various domestic and international M&A and internal restructuring transactions – coordinate and deploy tax subject matter experts on transactions; conduct tax due diligence; evaluate tax opinions; and evaluate potential income tax reserve needs.
  • Identify, design and implement tax planning opportunities and/or tax risk mitigation strategies consistent with the tax risk profile of the company.
  • Partner with and provide tax support of business unit initiatives – identify potential tax issues and come up with practical solutions that achieve both the desired business outcome and tax result.
  • Partner with Income Tax Accounting to identify, establish, calculate and update FIN 48 reserves related to various transactions. Assist with the determination of whether valuation allowances are required or whether there is potential planning to mitigate the need for such valuation allowances
  • Partner with Federal and State Income Tax audit teams to respond to IDRs and develop technical arguments in support of Verizon positions if challenged by a taxing authority. Capable of drafting tax protests and petitions and representing Verizon before taxing authorities including help to negotiate settlements.
  • Be a role model forentry levelTax Organizationteam membersand help to coach, develop and mentor his/her people. Be a proactive change agent.

What we’re looking for...

  • Law degree from an accredited law school
  • LL.M. in Taxation or Masters in Taxation highly desired
  • CPA or other accounting experience also highly desired
  • Experience in income tax in Big 4 public accounting firms and Fortune 500 corporate tax departments is highly desired.
  • 10+ years of law firm or Big 4 tax experience
  • In-house tax experience at a Fortune 500 company a plus
  • Strong tax technical, research and analytical skills are required
  • Strong leadership skills and a proven history of developing his/her people
  • Proven history of successfully designing and implementing multiple, complex tax planning initiatives – we are not looking for someone to just manage outside counsel, but rather someone who will take ownership of a matter and lead a team of tax and other professionals to design and implement a practical, risk-appropriate solution
  • Attorney must be highly motivated and have the ability to work in a collaborative, team environment
  • Attorney must have strong written and oral communication skills to partner effectively across the Tax Organization as well as throughout the company. Must be able to effectively distill complex tax concepts into plain English for presentations to the CFO and General Counsel and business partners.

  • Role model, coach and mentor for less senior Tax Organization personnel.
